Terms & Conditions

Version 1.0 · Last updated 22 October 2026 · In force from 22 October 2026

In plain words

  • CloudMart24 gives you software to run an online shop. You are the seller; we are the technology provider.
  • Prices are plus 18% GST, paid in advance, and can change with 30 days’ notice from your next renewal.
  • Fees are not refunded. If a renewal is not paid in full, your shop goes offline 3 days after the due date.
  • Payment gateways, couriers, messaging and other third-party services are contracted and paid by you, directly.
  • We take reasonable care of security and uptime but do not guarantee either. Download your data regularly.

This summary helps you read the text below; it is not part of it.

1. About these terms

These Terms & Conditions ("Terms") are an agreement between Zymofar Dynamic Products Private Limited (CIN U72900KA2022PTC165118, GSTIN 29AACCZ0391E1Z9), a company incorporated in India with its registered office at C-55, KSSIDC Industrial Estate, Veerasandra Industrial Area, Hosur Road, Electronic City Phase 2, Bengaluru 560100, Karnataka, India ("CloudMart24", "we", "us"), and the business that creates or uses a store on the CloudMart24 platform ("Merchant", "you").

The "Platform" means the CloudMart24 website, the store admin, the online shops we host, our mobile web apps, APIs, webhooks and any related service we provide.

You accept these Terms when you tick the box to agree at sign-up, when you agree to an updated version after logging in, or when you use the Platform. If you are accepting for a business, you confirm that you are authorised to bind that business.

The Platform is for business use. You must be at least 18 years old and able to enter into a contract under Indian law.

These Terms include, by reference, our Privacy Policy, Pricing, Billing & Third-Party Costs Policy, Cancellation & Refund Policy, Service Delivery Policy, Acceptable Use Policy and Shopper Data Terms, all published under cloudmart24.com/legal. If they conflict, these Terms apply.

2. Our role — we provide the software, you run the shop

CloudMart24 is a technology service provider. We provide software that you use to build and run your own online store.

  • We do not own, operate or control your store, and we are not the seller of anything sold in it.
  • We are not a marketplace, an agent of the shopper or the Merchant, or a payment aggregator.
  • Every sale made in your store is a contract between you and your shopper. We are not a party to it.
  • You alone are responsible for your products, prices, offers, descriptions, claims, stock, delivery, returns, refunds, warranties, invoices, taxes and customer service.

3. Your account

  • Give accurate, complete and current information at sign-up and keep it up to date, including your business name, GSTIN (if registered) and contact details.
  • Keep your passwords and one-time codes secret. You are responsible for everything done through your account, including by staff, designers, accountants or agencies you invite.
  • Give each team member only the role they need, and remove access when they leave.
  • Tell us at once at info@zymofar.com if you believe your account has been used without your permission.

4. Plans and features

Our plans, their prices and the features each includes are described on cloudmart24.com/pricing. Features marked "Beta" are built but still being proven with real accounts; features marked "Coming soon" are not yet available. Beta features are provided as they are and may change or be withdrawn.

We continuously improve the Platform and may add, change, limit or remove features, designs, integrations or plans at any time. Where a change materially reduces a paid plan, we will tell you in advance where reasonably possible.

Plan limits (for example the number of products or staff logins) may be enforced by the software at any time.

5. Fees, GST and payment

  • Subscription fees are charged in advance for the billing period you choose (monthly or yearly).
  • All prices are exclusive of GST. GST at the applicable rate (currently 18%) and any other applicable taxes are added to every invoice.
  • A renewal must be paid in full on or before its due date. Part payments do not renew a subscription.
  • We issue a GST invoice for every payment. Please give us your correct GSTIN and legal name before payment; we cannot re-issue invoices for a past tax period except as the law allows.
  • Bank charges, payment-gateway charges and currency-conversion costs on your payment to us are borne by you.

6. Price changes

Our prices may change at any time, including because of changes in market conditions, hosting, software, staff or other resource costs.

  • We will give you at least 30 days’ notice of a price change by email or in the store admin.
  • A new price applies from your next renewal after the notice period. The price of a period you have already paid for does not change.
  • Changes in GST or other taxes apply from the date they take effect in law.
  • If you do not accept a new price, you may cancel before your next renewal. Renewing after the notice period means you accept the new price.

7. Late payment, suspension and your data

  • If a renewal is not paid in full by its due date, we may suspend your store and store admin from 3 days after the due date. A suspended store is offline to shoppers.
  • We restore a suspended account once the full amount due is paid. Restoration is not instant and is not guaranteed if your data has already been deleted.
  • You are responsible for downloading and keeping copies of your data — products, orders, customers, invoices and reports — before your due date. Use the downloads in the store admin (such as sales reports, GST and accounting exports and invoices), and ask us before the due date if you need a fuller export.
  • After an account is suspended or closed, we are not obliged to keep your data and may permanently delete it at any time, except for records we must keep by law (such as our own invoices to you).

8. No refunds

All fees are non-refundable, including for unused time, unused features, downgrades, cancellation part-way through a period, and suspension or termination for breach of these Terms — except where Indian law requires otherwise. Details are in our Cancellation & Refund Policy.

9. Cancelling your subscription

You may cancel at any time by writing to info@zymofar.com from your account email or, when available, from the store admin. Cancellation stops the next renewal; your plan stays active until the end of the period you have paid for. Download your data before that date.

10. Third-party services and their costs

The Platform connects to services run by other companies, such as payment gateways (for example Razorpay, Cashfree, PayU, PhonePe), couriers (for example Delhivery, Shiprocket, Blue Dart, DTDC, Ecom Express, XpressBees, India Post), marketplaces and social networks (for example Amazon, Flipkart, Meta, Google), messaging (for example WhatsApp, MSG91, email providers), AI providers, video hosting, domain registrars and analytics tools ("Third-Party Services").

  • You open your own account with each Third-Party Service you use, accept its terms, and pay its fees directly to that provider. Our subscription fee does not include any third-party cost.
  • We do not own, control or guarantee any Third-Party Service. We are not responsible for its fees, availability, decisions, settlement timelines, account holds or closures, rate limits, errors or changes to its systems.
  • A connection may stop working, partly or completely, if the provider changes or withdraws its service. We will try, but are not obliged, to update it.
  • You keep your Third-Party Service credentials accurate. We store the keys you enter in encrypted form and use them only to provide the features you switch on.

11. Payments from your shoppers

Money paid by your shoppers is collected by your own payment-gateway account or by your courier (for cash on delivery) and settled to you by that provider. CloudMart24 never receives, holds or settles your shoppers’ money. Refunds, chargebacks, disputes and settlement questions are between you, your shopper and your provider.

12. Your responsibilities as the seller

You must follow every law that applies to your business and your store, including:

  • selling only products and services you are allowed to sell, holding every licence, registration and approval they need, and making only claims you can support (including any health, medical, wellness or performance claims);
  • the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020 — including showing your business details, a grievance officer, and your return, refund, exchange, warranty, shipping and cancellation policies in your store;
  • GST and other tax laws — the GST figures, returns and exports the Platform prepares are aids; you and your accountant must check them before filing;
  • the Digital Personal Data Protection Act, 2023 for your shoppers’ personal data (see the Shopper Data Terms), and the rules on marketing messages and consent;
  • intellectual-property law — you must own or have permission for every name, logo, picture, video and text you publish.

You must also follow our Acceptable Use Policy.

13. Your content and our software

  • You own the content and data you put into the Platform. You give us a non-exclusive licence to host, copy, process, display and transmit it only as needed to provide, secure and improve the Platform.
  • We own the Platform, its software, designs, templates, sections and documentation. Design kits and templates are licensed to you only for use on the Platform while your subscription is active.
  • You must not copy, resell, reverse-engineer or build a competing product from the Platform, except as the law expressly allows.
  • If you send us ideas or feedback, we may use them freely.

14. AI features

AI features produce drafts — text, translations, pictures and page layouts — for you to review. They can be wrong, incomplete or unsuitable. Nothing produced by AI is published until you approve it, and you are responsible for everything you publish. AI features may be subject to usage limits and to the terms of the AI provider.

15. Data protection and security

We handle personal data as described in our Privacy Policy and, for your shoppers’ data, the Shopper Data Terms.

We use reasonable security practices and procedures to protect the Platform and the data in it. However, no online service is completely secure, and we do not guarantee that the Platform or any data will be free from unauthorised access, loss, corruption or disclosure.

You are responsible for securing your own devices and accounts, for the people you give access to, and for keeping your own backups of your data.

If we become aware of a personal-data breach affecting your store, we will inform you without undue delay and as required by law.

16. Availability — no uptime commitment

We work to keep the Platform available, but we do not commit to any level of uptime or availability, and the Platform is not covered by a service-level agreement.

The Platform may be slow or unavailable because of maintenance, updates, failures, attacks, Third-Party Services, internet or hosting problems, or events outside our control. We will try to announce planned maintenance in advance.

No fee reduction, credit, refund or compensation is given for downtime, slowness or lost sales.

17. Disclaimer

The Platform is provided "as is" and "as available". To the fullest extent the law allows, we give no warranty of any kind — including that it will meet your needs, be error-free, produce any level of sales, or that reports, tax figures or third-party data are accurate.

18. Limitation of liability

  • We are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, sales, business, goodwill or data, however it arises.
  • Our total liability for all claims relating to the Platform or these Terms is limited to the subscription fees you actually paid us in the 3 months before the event giving rise to the claim.
  • Nothing in these Terms limits liability that cannot be limited under Indian law.

19. Indemnity

You will indemnify and hold harmless CloudMart24, its directors and staff against any claim, penalty, loss or cost (including reasonable legal fees) arising from your products, your store, your content, your dealings with shoppers or Third-Party Services, your taxes, or your breach of these Terms or the law.

20. Suspension and termination by us

We may suspend or close your account, with or without notice, if you do not pay, breach these Terms or the Acceptable Use Policy, put the Platform, other merchants or shoppers at risk, or if we are required to by law or by an authority. Where reasonable, we will tell you why and give you a chance to fix the problem first.

21. Changes to these Terms

We may update these Terms. Each version carries a number and a date. When we make a change, we will tell you by email or in the store admin, and you will be asked to agree to the new version when you next log in. If you do not agree, you must stop using the Platform; your plan then ends at the close of the period you have paid for, without refund.

22. Notices and grievances

We send notices to the email address on your account. You can send notices to info@zymofar.com. Complaints are handled as set out on our Grievance & Contact page; you can reach our Grievance Officer, Gokul Das, at info@zymofar.com.

23. Governing law and courts

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising from or relating to them or the Platform.

24. General

  • These Terms, with the policies they refer to, are the entire agreement between us about the Platform.
  • If any part is found invalid, the rest stays in force.
  • Not enforcing a right is not a waiver of it.
  • You may not transfer this agreement without our written consent. We may transfer it to a successor of our business.
  • Neither of us is liable for delays or failures caused by events beyond reasonable control, such as natural disasters, epidemics, war, government action, power or internet failures.
  • Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
